Article 1 – Name and Registered Office
The “Moto Club Madonnina dei Centauri Internazionali,” hereinafter referred to as the Association, is established as an Amateur Sports Association (ASD) without legal personality, in accordance with Articles 36 et seq. of the Civil Code and in compliance with the principles established by the Italian Motorcycling Federation (F.M.I.).
The registered office of the Association is located in Alessandria, Piazza Divina Provvidenza no. 15.
Any transfer of the registered office within the same municipality does not entail a statutory amendment.
Article 2 – Duration
The duration of the Association is unlimited.
Article 3 – Purpose
The Association is non-profit and exclusively pursues amateur sports purposes in the field of motorcycling.
It aims to promote, regulate, and coordinate sporting, cultural, and recreational activities connected to motorcycling in all its forms, both at a competitive and promotional level.
To achieve these purposes, the Association may:
Organize and participate in sports events and competitions recognized by the F.M.I.;
Promote events, rallies, meetings, courses, and exhibitions of a technical, educational, or cultural nature;
Engage in training activities for members, with particular attention to youth and new members;
Collaborate with public institutions, federations, and other associations sharing similar goals;
Carry out any activity related to or supportive of the achievement of its institutional purposes.
The Association prohibits any distribution, even indirect, of profits or surpluses during its existence, in compliance with Article 148 of the TUIR.
Article 4 – Principles of Operation
The Association is based on the principles of democracy, equal rights among members, and the elective nature of its offices.
All positions within the Association are elective and unpaid, except for reimbursement of documented expenses incurred in the performance of duties.
Article 5 – Affiliation
The Association is affiliated with the Federazione Motociclistica Italiana (F.M.I.) and recognizes its regulations, directives, and resolutions.
Affiliation entails acceptance of the F.M.I. Statute, its technical and disciplinary regulations, and any provisions concerning sports justice.
Article 6 – Membership
All individuals sharing the aims of the Association and willing to collaborate toward their achievement may become members.
Membership requests must be submitted in writing to the Board of Directors, which decides on admission.
Membership entails full acceptance of this Statute and the internal regulations of the Association.
Members are divided into the following categories:
Founding Members – those who took part in the establishment of the Association;
Ordinary Members – those regularly admitted;
Honorary Members – those appointed by the Assembly for special merits.
Membership is personal, non-transferable, and non-inheritable.
Article 7 – Rights and Duties of Members
Members have the right to:
Participate in the Assembly with voting rights;
Elect and be elected to governing bodies;
Take part in all activities promoted by the Association.
They are obliged to:
Pay annual membership fees as established by the Assembly;
Respect the Statute, regulations, and resolutions of the governing bodies;
Maintain conduct consistent with the principles of loyalty, fairness, and sportsmanship.
Failure to pay the annual fee entails loss of membership rights until payment is made.
Article 8 – Termination of Membership
Membership ceases:
By voluntary resignation;
By failure to pay the annual fee within the established deadline;
By expulsion for serious violations of statutory duties or conduct detrimental to the Association.
The Board of Directors decides on expulsion, after hearing the member concerned.
The expelled member may appeal to the Assembly, which decides definitively.
Article 9 – Organs of the Association
The governing bodies of the Association are:
The Assembly of Members;
The Board of Directors;
The President;
The Board of Auditors (if appointed).
Article 10 – The Assembly
The Assembly is the sovereign body of the Association and is composed of all members in good standing with their membership fees.
It is convened at least once a year to approve the financial statements and whenever the Board of Directors deems it necessary or upon written request by at least one-third of the members.
Convocation must be made by notice posted at the Association’s headquarters or by other suitable means at least 15 days before the date of the meeting.
The Assembly is validly constituted:
On first call, when at least half of the members are present;
On second call, regardless of the number of attendees.
Resolutions are adopted by a majority of votes. Each member has one vote.
Article 11 – The Board of Directors
The Board of Directors is composed of 5 to 9 members elected by the Assembly.
It remains in office for four years and its members are eligible for re-election.
The Board elects from among its members the President, the Vice President, and the Secretary/Treasurer.
The Board of Directors:
Manages the Association and implements the resolutions of the Assembly;
Prepares the budget and the final accounts;
Decides on membership applications and disciplinary measures;
Determines membership fees and establishes internal rules.
Meetings are valid when the majority of members are present. Resolutions are passed by a majority of votes.
Article 12 – The President
The President is the legal representative of the Association in all respects.
He/she convenes and chairs both the Assembly and the Board of Directors, supervises implementation of resolutions, and ensures compliance with statutory and regulatory provisions.
In case of absence or impediment, the Vice President substitutes the President with full powers.
Article 13 – The Secretary/Treasurer
The Secretary/Treasurer is responsible for keeping minutes, maintaining records, managing funds, and drafting the annual financial statement.
He/she carries out all administrative tasks necessary for the regular functioning of the Association.
Article 14 – Board of Auditors
When appointed, the Board of Auditors consists of three members elected by the Assembly.
It oversees the financial management of the Association and verifies the accuracy of accounts and documents.
Article 15 – Financial Year and Accounts
The fiscal year begins on January 1 and ends on December 31 of each year.
By April 30, the Board of Directors must submit the final accounts and budget for approval by the Assembly.
The final accounts must clearly and transparently show all revenues and expenses and any surplus or deficit.
Any surplus must be entirely reinvested in institutional activities.
Article 16 – Assets and Financial Resources
The Association’s resources consist of:
Membership fees;
Contributions from public and private entities;
Revenues from institutional activities;
Voluntary donations or bequests;
Any other lawful income.
The assets of the Association are indivisible and cannot be distributed, even indirectly.
Article 17 – Dissolution
In the event of dissolution, the Assembly appoints one or more liquidators and decides on the allocation of any remaining assets, which must be donated to another amateur sports association or to public benefit purposes, in accordance with current legislation and after consulting the F.M.I.
Article 18 – Final Provisions
For any matters not expressly provided for in this Statute, reference shall be made to the provisions of the Civil Code, the F.M.I. Statute, and other applicable laws on amateur sports associations.
